Press release in relation to the press releases of July 5 and 6

In relation to the press releases of July 5 and 6, 2012 concerning the capital increase of Fondiaria-SAI S.p.A., it is announced that as the authorisation process has not been completed regarding the publication of the Information Prospectus, the Offer may not begin on July 9, 2012 in accordance with the scheduled timeframe, The timeframe for the execution of the capital increase is being updated together with the underwriting consortium which is currently being formed. It is also announced that ISVAP in the meantime has approved the by-law amendment relating to the capital increase.
